Terms of Service

Effective Date: February 1, 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you and Quantit Inc. ("Company," "we," "us," or "our") and govern your access to and use of the Arkraft service, including related software, features, and outputs (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service. If you access or use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" includes both you and that organization.

  • The Service provides AI-assisted functionality for discovering, building, and deploying quantitative trading strategies and related analysis.
  • We may, at any time and in our sole discretion, modify, suspend, or discontinue any part of the Service (including features, data, integrations, and user interfaces) for quality, security, legal, compliance, or operational reasons.
  • Access to certain features requires an account. You are responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account.
  • You must provide complete and accurate account information and promptly update such information as necessary.
  • You must use the Service in compliance with applicable law and any policies we make available to you.
  • You may not misuse the Service, including attempting to access it using a method other than the interface and instructions we provide.
  • You may not interfere with or disrupt the Service, including probing, scanning, or testing the vulnerability of any system or network.
  • You may not reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by applicable law.
  • You may not use the Service to violate laws, infringe rights, or distribute malicious code.
  • You represent and warrant that all user-provided service content is lawful and that you hold all rights, permissions, and authority necessary to provide and use such user-provided service content through the Service.
  • Unless otherwise expressly agreed in writing, access to and use of the Service requires a paid subscription. Pricing, plan scope, billing cycles, and quota rules (including base usage, add-on quota packages, and proportional billing with controlled limits, where applicable) are set forth in the Service or in a separate written agreement.
  • Except as otherwise stated by us in writing and to the maximum extent permitted by applicable law, fees are non-cancelable and non-refundable.
  • Notwithstanding the foregoing, refunds or credits may be provided where required by applicable law or expressly set forth in an applicable order form, separate written agreement, or official refund policy published by us.
  • You are responsible for any applicable taxes, except taxes based on our net income.
  • We may offer trial accounts on an invitation-only basis at our sole discretion. Trial accounts are not publicly available and are granted only through invitations issued by us.
  • Each trial account is provided free of charge subject to a usage quota and trial period specifically assigned to that account. The allotted quota and duration may vary per account and are determined solely by us.
  • Upon expiration of the trial period or exhaustion of the allotted usage quota (whichever occurs first), access to the Service may be restricted or disabled. Continued use thereafter requires one of the following: an additional free quota allocation by us, a trial-period extension granted by us, or conversion to a paid subscription.
  • Trial accounts are subject to all other provisions of these Terms, including but not limited to acceptable use, intellectual property, and confidentiality obligations.
  • Trial accounts are provided solely for evaluation and non-commercial internal testing. Unless we provide prior written consent, you may not use trial accounts, or any outputs generated through trial accounts, for any commercial purpose, including internal business operations, production use, or live investment decision-making.
  • All copyrights and intellectual property rights in and to the Service, including software and related technologies, belong exclusively to us or our licensors.
  • You may not reproduce, distribute, modify, reverse engineer, resell, sublicense, or otherwise commercially exploit the Service or its results except as expressly permitted by these Terms, our prior written consent, or applicable law.
  • Subject to these Terms and your applicable plan, paid subscriptions (excluding trial accounts) may use outputs generated through the Service for internal business and commercial operations. This permission does not apply to trial accounts.
  • As between you and us, you retain rights in user-provided service content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, and otherwise use such user-provided service content subject to these Terms.
  • We process user-provided service content solely as reasonably necessary to provide, secure, maintain, troubleshoot, and back up the Service, and to comply with legal obligations.
  • Such processing may include processing by service providers acting on our behalf and subject to appropriate contractual, confidentiality, and security obligations.
  • We do not use user-provided service content for AI model training or model improvement.
  • Following termination or expiration of Service use, user-provided service content will be deleted from active systems in accordance with our deletion process, subject to limited retention in backups and security logs, or where longer retention is required by applicable law or reasonably necessary for security, fraud prevention, dispute resolution, or enforcement of our agreements.
  • You must treat non-public information about the Service, including its structure, operation, UI, functions, and performance, as confidential. This confidentiality obligation does not restrict your internal use of outputs generated from your own user-provided service content as otherwise permitted under these Terms.
  • You may not disclose or provide confidential information to any third party without our prior written consent, except where disclosure is required by law or is reasonably necessary for us to provide and operate the Service through service providers subject to appropriate confidentiality and security obligations.
  • Confidentiality obligations survive termination or expiration of your use of the Service.
  • The Service and outputs (including AI-generated content and analysis) are provided for informational and reference purposes only and do not constitute investment advice, recommendations, or an offer to buy or sell any securities.
  • You are solely responsible for all investment decisions, actions, and outcomes based on your use of the Service or its outputs.
  • The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to the Service.
  • To the maximum extent permitted by applicable law, our aggregate liability for all claims relating to the Service will not exceed the amounts paid by you to us for the Service in the 12 months immediately preceding the event giving rise to the claim.
  • For purposes of these Terms, termination of Service use means the earlier of your account closure request or the expiration or termination of your applicable subscription, trial, or contract term.
  • You may stop using the Service at any time.
  • We may suspend or terminate your access to the Service immediately if we reasonably determine that you have violated these Terms, applicable law, or our policies, or if continued access could create security, legal, or compliance risk.
  • Sections that by their nature should survive termination (including IP, data handling, confidentiality, disclaimers, limitation of liability, and governing law) survive termination.
  • These Terms are governed by and construed in accordance with the laws of the Republic of Korea.
  • Any dispute arising out of or in connection with the Service will be subject to the exclusive jurisdiction of the Seoul Central District Court, unless otherwise required by applicable law.
  • We may amend these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means, including by updating the effective date.
  • To the extent permitted by applicable law, your continued use of the Service after the effective date of updated Terms constitutes acceptance of those Terms.
